By accessing or using Reporili athttps://reporili.tech (“Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service (Beta)

Reporili is a Beta tool that analyzes source code you submit and generatesdraft legal documents (Privacy Policy, Terms of Service, Disclaimer) using automated analysis and AI. The Service:

  • Accepts ZIP uploads and GitHub repository URLs;
  • Does not provide user accounts or GitHub sign-in;
  • May change, suspend, or discontinue features without notice.

No SLA. The Service is provided on an “as available” basis during Beta.

2. Not legal advice

Reporili does not provide legal advice. Generated text is anAI-assisted draft for informational purposes only. It is not a substitute for advice from a qualified attorney in your jurisdiction. You are solely responsible for reviewing, editing, and approving any document before publication or use.

3. Your representations and responsibilities

3.1 Right to submit content

By uploading a ZIP file or submitting a repository URL, you represent and warrant that:

  • You have the legal right and authority to submit the content;
  • Your submission does not violate any confidentiality obligation, employment agreement, NDA, license, or third-party intellectual property rights;
  • You will not submit content you are not authorized to share.

You bear full responsibility for compliance with laws and contracts applicable to the code you submit.

3.2 Lawful use

You agree not to:

  • Upload malware, viruses, zip bombs, or content designed to disrupt the Service;
  • Attempt path traversal, denial-of-service, or unauthorized access;
  • Circumvent rate limits or security controls;
  • Use the Service for unlawful purposes.

We may block requests, remove access, and cooperate with authorities where required.

3.3 Your generated documents

If you publish AI-generated documents on your own website or product,you are responsible for their accuracy, completeness, and legal sufficiency.

4. Intellectual property

  • Your content: You retain ownership of code and materials you submit. You grant us a limited, non-exclusive license to process your content solely to provide the Service for the duration of processing.
  • Our Service: Reporili, its software, branding, and site content are owned by us or our licensors. Generated output is provided to you for your use subject to these Terms.

5. AI and third-party services

The Service relies on third parties (including Google Gemini andGitHub). Their terms and policies apply to their services. We are not responsible for third-party outages, policy changes, or processing.

6. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all generated documents are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

7. Limitation of liability

To the maximum extent permitted by law, Reporili and its operators, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising from:

  • Your use of or reliance on generated documents;
  • Unauthorized submission of third-party code;
  • Service interruptions, Beta changes, or AI errors.

Our total liability for any claim arising from the Service shall not exceed USD $100 or the amount you paid us in the twelve (12) months before the claim (if any), whichever is greater.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

8. Indemnification

You agree to defend, indemnify, and hold harmless Reporili from claims arising from: (a) content you submit; (b) your violation of these Terms; (c) your publication or use of generated documents; (d) infringement or misuse of third-party rights.

9. Privacy

Our Privacy Policy describes how we handle data. It is incorporated into these Terms by reference.

10. Termination

We may suspend or terminate access at any time, with or without cause. You may stop using the Service at any time.

11. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. Courts in Ukraine shall have exclusive jurisdiction, unless mandatory consumer law provides otherwise.

12. Changes

We may update these Terms. Material changes will be reflected by updating the “Last updated” date. Continued use constitutes acceptance where permitted.
